A public adhesion contract between SRL «IVAAVI GLOBAL PLATFORM» and the Tenant for the rental of a ready-made website. Governing law: Republic of Moldova.
Version of 2 October 2026
This document is a public offer by Societatea cu Răspundere Limitată «IVAAVI GLOBAL PLATFORM», IDNO 1026023143688 (the «Provider»), addressed to any legal entity or sole trader (the «Tenant») and constitutes a contract of adhesion under the Civil Code of the Republic of Moldova.
Acceptance is any of the following: submitting a request through the website form, paying the selected plan, confirming the order by messenger or email, or starting to use the website. From acceptance the contract is deemed concluded in writing, including electronically.
The contract may also be concluded as a separate document signed by both parties. In that case its terms prevail over this offer wherever they differ.
The Provider grants the Tenant a temporary, limited right to use a ready-made website (design, structure, functionality, template) for the paid period, and provides related hosting, technical support and basic setup services.
The specific template, plan, services, term and price are set out in the Tenant's request and the Provider's confirmation.
The website, source code, design, databases, server infrastructure and domains remain the exclusive property of the Provider or its licensors and are not transferred to the Tenant, during or after the rental.
The price is set by the plan at the time of acceptance. Payment is made in advance for the billing period (month, quarter or year) in the currency stated in the invoice, by bank transfer or another agreed method.
The Provider may change prices on at least 14 calendar days' notice. A period already paid is not recalculated.
If a payment is more than 7 calendar days late, the Provider may suspend the website; if more than 14 days late, the Provider may terminate the contract. Taxes and bank or payment-system fees are borne by the Tenant.
Sums paid for a started or unused period are non-refundable, except where a refund is required by law or separately agreed.
The Tenant may use the website for its business and publish its own content (text, images, logos); rights in that content remain with the Tenant.
The Tenant must not: copy or distribute website elements; access the source code or server side; sublease the website; create derivative works; or use it for unlawful content, spam, fraud or infringement of third-party rights.
The Tenant is solely responsible for the accuracy and lawfulness of its content and any related third-party claims, and shall indemnify the Provider against losses arising from such claims.
The Tenant shall compensate the Provider for losses, expenses and third-party claims (including reasonable legal costs) arising from breach of the agreement, posting of unlawful content or misuse of the website.
The Provider keeps the website available with reasonable uptime, performs maintenance and fixes faults not caused by the Tenant. Planned work is carried out mainly during low-load periods.
The Provider may engage third parties (hosting, infrastructure, message delivery, analytics, advertising and marketing services) to perform the contract and develop the platform. The Provider seeks to work with reliable partners but is not liable for the independent actions of such third parties, to the extent permitted by the law of the Republic of Moldova.
The Provider does not guarantee commercial results such as traffic, sales or search rankings. The service is provided «as is» to the extent permitted by law.
The Provider may make technical and design improvements and reuse the template and structure for other clients, without transferring the Tenant's content.
The Provider may modify, supplement, replace or discontinue individual features, modules and integrations of the website; the Tenant will be notified of planned maintenance in advance where possible.
The Provider's liability is limited to direct, documented damage and may not exceed the amount paid by the Tenant for the last billing period. The Provider is not liable for lost profit, indirect loss, data loss or reputational harm.
The Provider is not liable for acts of third parties and external services (payment systems, email providers, search engines, social networks) or for failures caused by the Tenant.
For late payment the Provider may charge a penalty of 0.1% of the overdue amount per day, capped at 20% of it, unless otherwise agreed.
The limitations and exclusions of liability in this contract do not apply in cases of intent or gross negligence, harm to life or health, or any other case where the law of the Republic of Moldova prohibits excluding or limiting liability.
Each party processes personal data in accordance with Law of the Republic of Moldova No. 195/2024 on personal data protection and applicable rules, including, where applicable, Regulation (EU) 2016/679. Details are in the Privacy Policy.
Where the Tenant's website processes data of the Tenant's customers, the Tenant acts as controller and the Provider as processor acting on the Tenant's documented instructions. The Tenant ensures a legal basis and required notices.
Processing on behalf of the Tenant (DPA): the Provider processes data only on the Tenant's documented instructions and only to perform the contract; ensures confidentiality of persons authorised to access the data; applies appropriate technical and organisational safeguards; assists the Tenant in handling data subject requests; and on termination returns or deletes the data unless retention is required by law.
Sub-processors: the Tenant gives general authorisation for the use of hosting, email and messaging providers; the Provider binds them to the same level of protection and provides the list on request. Cross-border transfers are allowed only with the safeguards provided by Law No. 195/2024.
Security incidents: the Provider notifies the Tenant of a data breach without undue delay and no later than 48 hours after becoming aware of it. The Tenant is responsible for notifying the supervisory authority and data subjects where required by law.
The parties shall not disclose each other's commercial information except where required by law or a competent authority. This obligation lasts 3 years after the contract ends.
The contract runs for the paid period and renews automatically for the same period upon the next payment.
The Tenant may opt out by written notice (including email) at least 7 calendar days before the paid period ends. The Provider may terminate on at least 7 calendar days' notice, or immediately upon the Tenant's breach.
After the contract ends the website is unpublished. On request within 30 days the Tenant receives its own content in exportable formats.
The Provider may amend this offer by publishing a new version on this page. Continued use after publication means acceptance; if the Tenant disagrees, it may terminate.
The Provider may also terminate the agreement immediately in case of systematic payment delays, use of the website for unlawful purposes, or Tenant actions causing reputational, technical or other harm to the Provider.
Neither party is liable for non-performance caused by force majeure: government decisions, power or network failures, cyberattacks, natural disasters, war, epidemics. The affected party shall notify the other within a reasonable time.
The contract is governed by and construed under the laws of the Republic of Moldova, regardless of the Tenant's location or nationality and where the website is used. Conflict-of-law rules of other states are excluded.
The parties shall first try to resolve disputes by negotiation; a written claim is reviewed within 30 calendar days.
Failing agreement, the dispute is submitted to the competent court of the Republic of Moldova at the Provider's location (Chișinău). The parties consent to this jurisdiction to the fullest extent permitted by law. Mandatory consumer rights and other mandatory provisions of law are not limited.
This contract is provided in several languages for convenience; in case of discrepancy the Russian version prevails.
Invalidity of one provision does not affect the others; the Tenant may not assign its rights under the contract without the Provider's written consent.
At the Provider's choice, a dispute may be referred to the Arbitration Court at the Chamber of Commerce and Industry of the Republic of Moldova under its rules; the language of proceedings is Romanian or as determined by the court. The Provider may also recover debts at the Tenant's location or where its assets are located.
It is prohibited to publish adult material, weapons, narcotic or psychotropic substances, pyramid schemes, unlicensed gambling, or any content banned by the law of the Republic of Moldova or of the Tenant's country. Unauthorised access to the infrastructure, scraping and excessive load are prohibited.
If a violation is suspected, the Provider may suspend or restrict access to the site and will inform the Tenant of the reasons.
Notices sent to the email, phone number or messenger account provided by the Tenant are deemed delivered when sent. Acceptance, payment and continued use in electronic form have the force of written consent.
Only persons with full legal capacity may enter into the agreement. The Provider may assign its rights and obligations to a successor in case of reorganisation or transfer of the business, notifying the Tenant. The Provider may show the Tenant's name and logo as an example of the service unless the Tenant objects in writing.
This agreement is the entire agreement of the parties on the rental and replaces earlier arrangements. Failure to exercise a right is not a waiver of it.
The Provider may assign claims under the agreement, including claims for the Tenant's debts, to third parties.
